- a. Authorize final payment of Al Schauf loan -- $2,000.
- b. Authorize ongoing Foundation operations as adopted in 2014.
- c. Adopt 2015 Foundation start up Activities budget of $7,512: Management contract with Stout Financials Corp -- $6,000, Website management -- $612, Website consultation -- $900.
- d. Reauthorize executive management contract with Stout Financials Corporation to provide office services, coordinate volunteers and activities, raise program funds, and other general management activities for 2015 at the rate of $500.00 per month.
- e. Reauthorize website consultation with Dan Taylor d/b/a Collaboration Labs for up to $900.

- a. Election of Board members – elect sitting Board Members to serve through the 2016 Annual Meeting.
- b. Elect three new members to the Board: Nathan Sanders, Leonard Nelson, and Harvey Siegelman to terms beginning March 21, 2015 and continuing through the 2016 Annual Meeting.
- c. Elect Nathan Sanders as Treasurer.

Resolutions for 3/20/15 Vitality In Action Foundation Board Meeting
OLD BUSINESS
1. Repayment of Schauf Loan:
Resolved, the Board approves payment of the $2,000 that remains outstanding of the original $6,000 loan owed to Alan J. Schauf.
2. Authorize ongoing 2015 operations as adopted in 2014.
Resolved, that Vitality In Action Foundation continue program operations as adopted in 2014 as funds are available through general fund raising activities.
3. Adopt 2015 Foundation start up activities budget of $7,512.
Resolved, that expenditures totaling $7,512 in 2015 are approved for start-up Foundation Activities as follows: Management Contract with Stout Financials Corp. - $6,000; Website Management - $612; Website consultation - $900.
4. Authorize executive management contract with Stout Financials
Resolved, that the Foundation continue through calendar year 2015, the contract with Stout Financials Corporation to provide executive management services at a rate of $500.00 per month for a total of $6,000. Mr. Stout, president of Stout Financial Corporation or his designee will fulfill the duties of Executive Director, including development of fundraising, coordination of volunteers, and membership recruitment. In addition, Stout Financials Corp is to provide office management and related expenses such as office equipment, office supplies, phone, postage, management expenses, and mileage.
5. Authorize website development contract with Dan Taylor of Collaboration Labs.
Resolved, that the Foundation continue to consult with Dan Taylor d/b/a Collaboration Labs, to improve the effectiveness of The Foundation's website as the communications hub, primary educational media, and administrative management platform of the organization, authorizing an expenditure for consultation fees with Collaboration Labs of up to $900 as needed.
NEW BUSINESS
6. Board elections – reappoint sitting Board members.
Resolved, the sitting members of the Board, James Stout, Katie Barth, Gerald Gugerty, Jessica Butala, and Joanna Coil are reappointed to the Board for service through the 2016 Annual Board Meeting.
7. Board elections – new members.
Resolved, Nathan Sanders, Leonard Nelson, and Harvey Siegelman are elected to serve terms of service beginning March 21, 2015 and continuing through the 2016 Annual Board Meeting.
8. Elect Board Officers.
Resolved, Board members are elected as the respective officers of the Foundation and to serve in those capacities through the 2016 Annual Board Meeting as follows:
President James L. (Rusty) Stout
Vice President Katie Barth
Treasurer Nathan Sanders
Acting Secretary Gerald (Bill) Gugerty (to serve as Acting Secretary until such a time as a Permanent Secretary is appointed.
